M&A Deal Structuring and Merger Modeling Basics

Utilize the advanced tools and analyses of M&A investment bankers and acquirers. Review common structural issues including cash versus stock upfront payments versus earn-outs, and stock versus asset deals and crucial merger consequence analysis including detailed accretion/dilution and analyses. Build dynamic models that account for different transaction structures. Sensitize financial projections and the financial impact on a transaction, and construct a simple pro forma merger model. Calculate estimated combined income statements for target and acquirer, key pro forma balance sheet items, cash flow for debt repayments and other relevant items in an M&A context.

Prerequisite: Intermediate proficiency using Excel and a solid grasp of basic accounting foundations. Corporate Valuation Methodologies is strongly suggested.

Note: Bring your PC laptop with Microsoft Excel installed and a CD-ROM drive. Mac applications may not be as effective.
