M&A Deal Structuring & Merger Modeling Basics
Participants utilize advanced tools and analyses of M&A
investment bankers and acquirers, review due diligence and legal issues,
common structural issues including cash versus stock upfront payments
versus earn-outs, and stock versus asset deals and crucial merger
consequence analysis including detailed accretion/dilution and
contribution analyses. Through case studies, assess various deal
structures demonstrating detailed alternative earn-out structures and
methodologies. Model out financial combinations, with hands- on,
interactive, and Excel based exercises.
*Bring your PC laptop with Microsoft Excel installed and a CD-ROM
drive. (Excel 2007, Vista, and Macs may not be as effective.)
Prerequisite: Intermediate proficiency using Excel
and solid grasp of basic accounting foundations required. NYSSA’s
“Corporate Valuation Methodologies” class is highly
recommended as a precursor to obtain desired financial background and
valuation concepts.
